Lawgical Terms of Service
These Terms govern use of Lawgical’s law-firm intake, communications, marketing, automation, and AI-assisted services, including user responsibilities, acceptable use, intellectual property, liability limits, and dispute resolution.
Welcome to Lawgical ("Lawgical," "Product") by Gouldian Inc. ("Company," "we," "our," or "us"). By accessing or using our website, applications, and related services (collectively, the "Site"), you agree to these Terms of Service ("Terms"). These Terms are a legally binding agreement between you and Lawgical. If you do not agree, do not use the Site.
These Terms govern your use of Lawgical's law-firm intake, communications, marketing, automation, and related AI-assisted tools (collectively, the "Service"), including any content, functionality, and other services offered through the Site. Our Privacy Policy explains how we collect, use, and protect personal data. By using the Site, you also agree to our Privacy Policy.
1. Using our site
A. Eligibility
You must be at least 18 years old and able to form a legally binding contract. If you use the Site on behalf of an organization (including a law firm), you represent that you have authority to bind that organization to these Terms. You agree that information you provide to us is accurate, current, and complete.
B. Account registration and security
To use certain features, you may need an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must promptly notify us of any unauthorized use or security breach.
C. Updates to these Terms
We may update these Terms at any time by posting revised Terms on the Site. Continued use of the Site after changes become effective means you accept the revised Terms. You should review these Terms periodically.
D. The Service and your responsibilities
Lawgical provides tools to help law firms and legal teams manage intake and follow-up workflows, communicate with leads and clients, and run marketing and operational automations. The Service may include AI-assisted drafting, summarization, classification, form assistance, message generation, routing, analytics, and integrations with third-party systems.
You are responsible for:
- configuring the Service appropriately for your firm's processes,
- reviewing outputs before using or sending them,
- ensuring compliance with all laws and professional obligations applicable to your practice and communications.
Lawgical is not a law firm and does not provide legal advice.
E. Restrictions and acceptable use
You agree not to:
- use the Service for unlawful, harmful, deceptive, or fraudulent activity;
- send spam, unsolicited bulk messages, or communications that violate applicable law or platform policies;
- attempt to gain unauthorized access to the Site, systems, or accounts;
- interfere with or disrupt the Service, including through scraping, probing, or denial-of-service activity;
- upload, transmit, or store content that infringes others' rights or violates law;
- use the Service to create or distribute malware, phishing, or other security threats;
- reverse engineer, decompile, or attempt to extract source code or underlying models except to the extent prohibited by law.
F. Compliance with laws (including marketing and communications)
You agree to comply with all applicable laws, rules, and regulations, including those related to privacy, advertising, and communications. If you use the Service to contact leads or clients (including via phone, SMS, email, WhatsApp, social DMs, or similar channels), you represent and warrant that you have all required rights, permissions, and consents to do so.
This includes, where applicable:
- Telephone Consumer Protection Act (TCPA) and related state laws,
- CAN-SPAM and similar email marketing laws,
- applicable privacy laws (for example, CCPA/CPRA and others as relevant to your operations),
- rules and policies of carriers and messaging platforms.
You are solely responsible for message content, targeting, timing, opt-in/opt-out handling, and honoring "stop," "unsubscribe," and similar requests.
G. Third-party services and integrations
The Service may integrate with third-party products (for example CRMs, calendar systems, telephony, messaging platforms, analytics, or payment services). Third-party services are governed by their own terms and policies, and we are not responsible for third-party services, outages, data handling, or changes in their functionality. You are responsible for maintaining your third-party accounts and permissions.
H. Beta and experimental features
Some features may be labeled alpha, beta, preview, or experimental. These features may be unstable, change without notice, or be discontinued. Beta features are provided "as is" and may not be suitable for production use.
2. Intellectual property
A. Our content
All content on the Site and Service, including text, graphics, logos, designs, software, code, and user interfaces, is owned by or licensed to Lawgical and protected by intellectual property laws. Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, lease, or create derivative works from our content or the Service.
B. Your content
You retain ownership of content you upload, submit, or otherwise provide through the Service, including intake information, templates, messages, documents, and other materials ("Customer Content"). You represent and warrant that you have all necessary rights to provide Customer Content and that providing it does not violate law or third-party rights.
You grant Lawgical a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Customer Content solely as necessary to operate, maintain, and improve the Service and provide support.
3. Disclaimers
A. "As is" and "as available"
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee uninterrupted, error-free, or secure operation. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
B. No professional advice; no attorney-client relationship
Lawgical provides software tools and does not provide legal advice. Use of the Service does not create an attorney-client relationship between Lawgical and any user or your leads/clients. You are responsible for legal review, compliance, and professional judgment.
C. AI limitations
The Service may use artificial intelligence that can generate incorrect, incomplete, or misleading outputs ("hallucinations"). You agree to independently verify outputs before relying on them, especially before sending communications to leads/clients, using outputs in filings, or making business or legal decisions. Lawgical disclaims liability for outcomes resulting from reliance on AI-generated content.
D. Third-party content
The Site may include links to third-party sites or services. We do not control or endorse third-party content and are not responsible for it. Access is at your own risk.
4. Limitation of liability
To the maximum extent permitted by law, Lawgical and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities, arising out of or related to your use of (or inability to use) the Service, even if advised of the possibility.
A. Maximum liability
To the maximum extent permitted by law, our total liability for any claim arising out of or related to these Terms or the Service will not exceed the amount you paid for the Service in the six (6) months immediately preceding the event giving rise to the claim.
B. Exclusions
Some jurisdictions do not allow certain limitations. Where prohibited, these limitations apply to the greatest extent permitted.
5. Indemnification
You agree to indemnify, defend, and hold harmless Lawgical, its affiliates, and their officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- your use of the Site or Service,
- your Customer Content,
- your communications or marketing activities conducted through or facilitated by the Service (including any alleged lack of consent),
- your violation of these Terms,
- your violation of law or regulation,
- your infringement of intellectual property or other rights of any person or entity.
6. Termination
We may suspend or terminate your access to the Service immediately if you breach these Terms or if we reasonably suspect fraudulent, abusive, or unlawful activity associated with your account. Upon termination, you must stop using the Service and any licenses granted to you will cease.
A. Effect of termination
Termination does not relieve you of fees accrued prior to termination and does not limit our right to pursue other remedies.
B. Survival
Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and any other provisions that by their nature should survive will survive termination.
7. Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to conflict of law rules.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service will be resolved by binding arbitration in California under the rules then in effect, except as provided below.
A. Injunctive or equitable relief
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
B. Class action waiver
You agree that disputes will be brought only on an individual basis and not as part of any class, consolidated, or representative action.
